class=style21><b><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>IT</span></b></span><span class=style51><b><span style='font-size:10.0pt'> Services</span></b></span></p> <p class=style32><strong><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>§ 1 Anwendungsbereich</span></strong></p> <p><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>(1) Sämtlichen Lieferungen und Leistungen von Vinarski IT Services liegen die nachfolgenden Allgemeinen Geschäftsbedingungen (AGB) von Vinarski IT Services zugrunde. Abweichenden vorformulierten Regelungen wird widersprochen.<br> (2) Diese Allgemeinen Geschäftsbedingungen gelten auch für zukünftige Geschäftsbeziehungen, auch wenn sie nicht nochmals ausdrücklich vereinbart werden.<br> (3) &quot;Verbraucher&quot; im Sinne dieser Geschäftsbedingungen sind natürliche Personen, welche bei Vinarski IT Services Ware zu einem Zweck bestellen, der weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden kann. &quot;Gewerbetreibender&quot;, im Sinne dieser Geschäftsbedingungen, ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei der Bestellung von Ware bei Vinarski IT Services in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt.</span></p> <p class=style32><strong><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>§ 2 Vertragsschluss</span></strong></p> <p><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>Der Vertrag kommt zustande durch Absenden des ausgefüllten Web-Bestellformulars durch den Käufer und den Erhalt der automatisch verschickten Bestellungsbestätigung nach Abschluss des Bestellvorgangs.</span></p> <p><strong><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>§ 3 Versand</span></strong></p> <p><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>Die Versendung der Ware erfolgt ab Lager Vinarski IT Services in Leimen.</span></p> <p><strong><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>§ 4 Umsatzsteuer</span></strong></p> <p><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>Bei sämtlichen angegebenen Preisen handelt es sich um Endpreise, auf die eine Mehrwertsteuer nach § 19 Absatz 1 Satz 1 UStG nicht anfällt.</span></p> <p><strong><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>§ 5 Widerrufsrecht</span></strong></p> <p><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>(1) Aufgrund den Regelungen des Bürgerlichen Gesetzbuches gewährt Vinarski IT Services den Verbrauchern im Fernabsatzgeschäft ein Widerrufsrecht. Der Widerruf muss keine Begründung enthalten. Der Widerruf kann durch Rücksendung der Ware oder durch schriftliche Erklärung gegenüber Vinarski IT Services innerhalb von zwei Wochen erklärt werden. Die Frist beginnt am Tag nach Erhalt der Ware, wenn zu diesem Zeitpunkt dem Verbraucher auch bereits in Textform diese Widerrufsbelehrung zugegangen ist. Das Widerrufsrecht gilt nur für Verbraucher im Sinne des § 1 Absatz 3 und ist bei Gewerbetreibenden/Unternehmern ausgeschlossen.<br> (2) Beim Kauf von Registrierungsnummern zur Freischaltung von Demoversionen erlischt das Widerrufsrecht auch durch Zusendung der Registrierungsnummer an den Besteller per E-Mail oder Brief. Bei Fernabsatzverträgen zur Lieferung von Software auf CD-ROM erlischt das Widerrufsrecht, sofern die gelieferten Datenträger vom Verbraucher entsiegelt worden sind. Zum Entsiegeln zählt auch das Öffnen der mitgelieferten CD-Hülle.<br> (3) Die Waren oder das Widerrufsverlangen sind zu senden an: Vinarski IT Services, Ernst-Reuter-Str. 24, 69181 Leimen, Deutschland, per E-Mail an kontakt@vinarski.de.<br> (4) Die Vinarski IT Services verpflichtet sich zur Rückerstattung geleisteter Zahlungen innerhalb von 21 Tagen nach der Widerrufserklärung des Verbrauchers und der Mitteilung seiner Kontonummer oder PayPal-E-Mail-Adresse, auf die die Rückerstattung erfolgen soll.</span></p> <p class=style32><strong><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>§ 6 Softwareprodukt</span></strong></p> <p><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>(1) Beim Kauf des Softwareprodukts erwirbt der Kunde eine Registrierungsnummer zur Freischaltung der Vollversion der Software und - wenn bestellt - auch eine CD-ROM mit der Software.<br> (2) Der Kunde erhält ein nicht ausschließliches, zeitlich unbeschränktes Recht zur Nutzung der Vertragssoftware. Die Vertragssoftware darf nur maximal auf der Anzahl von PCs installiert werden, die der Zahl der vom Kunden erworbenen Lizenzen entspricht. Bei einer Netzwerkinstallation der Software (<a href="http://www.vinarski.de/netzwerkinstallation.pdf">http://www.vinarski.de/netzwerkinstallation.pdf</a>) benötigt der Kunde für jeden PC, von dem aus sich die Software starten lässt, eine eigene Lizenz. Die zulässige Nutzung umfasst die Installation der Vertragssoftware, das Laden in den Arbeitsspeicher sowie den bestimmungsgemäßen Gebrauch durch den Kunden. In keinem Fall hat der Kunde das Recht, die erworbene Vertragssoftware zu vermieten oder in sonstiger Weise unterzulizenzieren, sie drahtgebunden oder drahtlos öffentlich wiederzugeben oder zugänglich zu machen oder sie Dritten entgeltlich oder unentgeltlich zur Verfügung zu stellen. Der Kunde ist berechtigt, eine Sicherungskopie zu erstellen, wenn dies zur Sicherung der künftigen Nutzung erforderlich ist. Der Kunde wird auf der erstellten Sicherungskopie den Vermerk  Sicherungskopie sowie einen Urheberrechtsvermerk des Herstellers sichtbar anbringen.<br> (3) Der Kunde ist zur Weitergabe der Registrierungsnummer an unbefugte Dritte und zu deren anderweitigen Veröffentlichung (z.B. im Internet) nicht berechtigt. Er verpflichtet sich, die Registrierungsnummer derart zu verwahren, dass ein unbefugter Zugriff auf die Registrierungsnummer durch Dritte nicht erfolgen kann. Vinarski IT Services weist darauf hin, dass jeder Kunde beim Kauf eines Softwareprodukts eine eigene personifizierte Registrierungsnummer erhält, auf Grund derer eine Rückverfolgung bis zu dem Kunden möglich ist, der gegen diese Geheimhaltungspflichten verstoßen hat. Der Kunde nimmt zur Kenntnis, dass der Verstoß gegen diese Geheimhaltungspflichten ggf. strafbar ist und von Vinarski IT Services zivil- und strafrechtlich verfolgt wird.</span></p> <p><strong><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>§ 7 Gewährleistung/Haftungsausschluss</span></strong></p> <p><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>Vinarski IT Services macht darauf aufmerksam, dass es nach dem Stand der Technik nicht möglich ist, Computer-Software so zu erstellen, dass sie in allen Anwendungen und Kombinationen fehlerfrei arbeitet. Vinarski IT Services übernimmt daher aufgrund der bekannten Komplexität der Software keine Zusicherung dahingehend, dass sich die Software im Einzelfall für einen bestimmten Zweck eignet oder eine Kompatibilität zu sämtlichen anderen Soft- oder Hardwareprodukten besteht oder sonst ein absolut störungsfreier Einsatz möglich ist. Sollten neuere Versionen der Software von Vinarski IT Services veröffentlicht werden, so begründet dies keinen Mangel der ursprünglich verkauften Software. Bei dem Verbrauchsgüterkauf gelten vorrangig die §§ 474 ff., 437 BGB. </span></p> <p class=style32><strong><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>§ 8 Datenschutz und Geheimhaltung</span></strong></p> <p class=style32><span style='font-size:10.0pt'>Sämtliche von Kunden erhobenen persönlichen Daten werden vertraulich behandelt. Die für die Geschäftsabwicklung notwendigen Daten werden gespeichert und im erforderlichen Rahmen der Ausführung der Bestellung gegebenenfalls an verbundene Zusteller weitergegeben, bzw. an Banken zur Abrechnung. Vinarski IT Services verweist hierzu auf die auf der Webseite veröffentlichten <a href="http://www.vinarski.de/datenschutz.htm">Datenschutzhinweise</a>. Der Kunde stimmt einer anonymisierten Veröffentlichung seiner Bemerkungen zu der Software etwa nach dem Muster unter <a href="http://www.vinarski.de/kundenmeinungen.pdf">http://www.vinarski.de/kundenmeinungen.pdf</a> zu, die er im Bestellformular macht oder Vinarski IT Services auf anderen Wegen mitteilt.</span></p> <p class=style32><strong><span style='font-size:10.0pt;font-family:"Arial","sans-serif"'>§ 9 Erfüllungsort und Gerichtsstand</span></strong></p> <p class=style32><span style='font-size:10.0pt'>Als Erfüllungsort für alle beiderseitigen Leistungen aus dem Vertrag wird der Firmensitz der Vinarski IT Services, Leimen, vereinbart. Der Gerichtsstand wird allein am zuständigen Gericht für den Erfüllungsort vereinbart, wenn der Kunde Unternehmer, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen ist oder keinen allgemeinen Gerichtsstand in der Bundesrepublik Deutschland hat. Die Vertragspartner vereinbaren hinsichtlich sämtlicher Rechtsbeziehungen aus diesem Vertragsverhältnis, gegenwärtiger wie auch zukünftiger nach Erfüllung des Vertrags, die Anwendung deutschen Rechts unter Ausschluss des UN-Kaufrechts.</span></p> <p class=style33><span style='font-size:10.0pt'>§ 10 Salvatorische Klausel</span></p> <p class=style32><span style='font-size:10.0pt'>Soweit diese allgemeinen Geschäftsbedingungen Regelungslücken enthalten, gelten zur Ausfüllung dieser Lücken diejenigen rechtlich wirksamen Regelungen als vereinbart, welche die Vertragspartner nach den wirtschaftlichen Zielsetzungen des Vertrages und dem Zweck dieser Allgemeinen Lieferbedingungen vereinbart hätten, wenn sie die Regelungslücke gekannt hätten.
